Terms of Service

1. Service Description

Reelforge is an AI-powered video advertisement generation platform. You provide a product URL, and our Service automatically scrapes publicly available information from that page, generates a script, synthesizes voiceover audio, assembles b-roll footage, and renders a finished MP4 video advertisement — typically within minutes.

The Service is intended for use by businesses, independent developers, and marketing teams to create promotional video content for their own products or for products they have the right to advertise. The Service is not intended for personal, family, or household purposes.

2. Account Terms

You must create an account to use the Service. You may register with an email address and password or via Google OAuth. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. You must be at least 18 years old and have the legal capacity to enter into a binding agreement to use the Service.

You agree to provide accurate, current, and complete information during registration and to keep that information updated. We reserve the right to suspend or terminate accounts that contain inaccurate or misleading information.

You may not share your account credentials with any third party or allow any other person to access your account. You must notify us immediately at support@reelforge.ai if you suspect any unauthorized use of your account.

3. Credits System

Access to ad generation is gated by a credits system. Credits are consumed when you successfully generate a video ad. Each completed video generation deducts 5 credits from your account balance.

Credits are acquired through a paid subscription plan. Each plan includes a monthly allocation of credits that resets on your billing anniversary date. Unused credits do not roll over to the following billing period unless explicitly stated in your plan description.

Refunds on failure: If a generation job fails due to a server-side error attributable to Reelforge (e.g., rendering pipeline failure, upstream API outage on our end), the 5 credits deducted for that job will be automatically refunded to your balance. Credits will not be refunded if the failure results from an invalid or inaccessible product URL you provided, a URL that cannot be scraped due to access restrictions on the target site, or content that was rejected by our acceptable-use filters.

Credits have no cash value, are non-transferable, and may not be sold, gifted, or exchanged for currency. We reserve the right to adjust credit pricing and allocation with notice as described in Section 12.

4. User Content and Ownership

4.1 Your Generated Videos

Subject to your compliance with these Terms and payment of applicable fees, Reelforge assigns to you all rights, title, and interest in the final MP4 video files generated by the Service on your behalf. You own your generated videos and may use them for any lawful commercial or non-commercial purpose without restriction.

4.2 Input Content

You are solely responsible for the product URLs and any other information you submit to the Service. By submitting a URL, you represent and warrant that: (a) you have the right to advertise the product at that URL; (b) the product and its associated claims are accurate and do not violate applicable advertising laws; and (c) your use of the generated video will comply with all applicable laws, including consumer protection and truth-in-advertising regulations.

4.3 License to Reelforge

You grant Reelforge a limited, non-exclusive, royalty-free license to process, store, and transmit your submitted URLs and any resulting intermediate assets solely as necessary to operate and improve the Service. We do not use your submitted content to train generative AI models without your explicit consent.

5. Acceptable Use

You agree not to use the Service to create, promote, or distribute:

• Content that is illegal in your jurisdiction or the jurisdiction of your target audience.
• Misleading, deceptive, or false advertising, including fake reviews, fabricated claims, or bait-and-switch promotions.
• Content that promotes hate, violence, discrimination, or harassment of any individual or group.
• Sexually explicit or adult content.
• Advertisements for products or services that require regulatory approval you do not hold (e.g., unlicensed pharmaceuticals, unregistered financial instruments).
• Malware, phishing pages, or any site designed to defraud users.
• Content that infringes the intellectual property rights of any third party.
• Spam or unsolicited bulk advertising.

We reserve the right to review, refuse, or remove any generated content that we believe violates these policies and to suspend or terminate the accounts of users who repeatedly or egregiously violate them, without refund of unused credits.

6. Payment Terms

All payments are processed by Paddle, which acts as the Merchant of Record for all Reelforge transactions. When you subscribe to a paid plan, you are purchasing from Paddle, and Paddle's own terms of service and privacy policy apply to the payment transaction. Paddle handles all applicable sales tax, VAT, and GST collection on our behalf.

Subscriptions are billed on a recurring monthly or annual basis, depending on the plan you select, beginning on the date of your initial purchase. Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. You may cancel at any time from your account settings; cancellation takes effect at the end of the current paid period and you will not be charged again.

All fees are stated in US dollars and are non-refundable except as expressly required by applicable law or as described in Section 3 (credit refunds on generation failure). We do not offer prorated refunds for unused subscription time.

If a payment fails, we will attempt to retry the charge according to Paddle's dunning schedule. If payment remains outstanding after the retry period, your account may be downgraded to a free tier and access to paid features will be suspended until payment is resolved.

7. Intellectual Property

The Reelforge name, logo, website design, underlying software, algorithms, and all other aspects of the Service (excluding user-owned generated videos as described in Section 4) are the exclusive property of Reelforge, Inc. and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, reverse-engineer, or create derivative works from any part of the Service without our prior written consent.

Third-party stock footage, music, and other assets used in video generation are licensed by Reelforge from their respective rights holders for use within the Service. Your right to use those assets is limited to the generated video output and the commercial purposes described in Section 4.1. You may not extract or separately redistribute raw stock assets obtained through the Service.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED OR ERROR-FREE OPERATION. WE DO NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS OR THAT RESULTS OBTAINED FROM THE SERVICE WILL BE ACCURATE, COMPLETE, OR SUITABLE FOR YOUR INTENDED USE.

AI-generated scripts, voiceovers, and video content may contain errors, inaccuracies, or content that requires editing before publication. You are solely responsible for reviewing all generated content before distributing or publishing it.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL REELFORGE, ITS DIRECTORS, EMPLOYEES, AGENTS, PARTNERS, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN ANY CASE, REELFORGE'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID TO REELFORGE IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU IN FULL.

10. Beta and Early Access

Reelforge is currently offered as an early-access / beta product. This means the Service may have reduced availability, contain bugs, undergo significant changes in functionality, or be discontinued at any time without notice. Features described on our marketing pages represent intended functionality and may not yet be fully implemented.

We appreciate your patience and feedback during this period. By using the beta Service, you acknowledge these limitations and agree that Reelforge will not be liable for any damages or losses arising from instability or changes inherent to beta software.

11. Termination

You may terminate your account at any time by contacting us at support@reelforge.ai or via the account deletion option in your settings. Upon termination, your right to use the Service will immediately cease and your credit balance will be forfeited.

We may suspend or terminate your account immediately, without prior notice or liability, if we reasonably believe you have violated these Terms, engaged in fraudulent or abusive activity, or posed a risk to other users or to the integrity of the Service.

After account termination, we will retain your data for up to 30 days during which you may request an export of your generated videos. Following that period, your data will be permanently deleted in accordance with our Privacy Policy.

12. Changes to These Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by email to the address on your account and by posting a notice in the Service dashboard at least 14 days before the changes take effect. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of them.

If you do not agree to the revised Terms, you must stop using the Service and cancel your subscription before the effective date.

13. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict-of-law provisions. Any dispute arising out of or relating to these Terms or the Service that cannot be resolved informally shall be finally settled by binding arbitration administered under the rules of the American Arbitration Association (AAA), with proceedings conducted in English.

You and Reelforge each waive any right to a jury trial or to participate in a class-action lawsuit or class-wide arbitration with respect to any claim covered by these Terms.

14. Miscellaneous

These Terms, together with our Privacy Policy and any order confirmation issued by Paddle, constitute the entire agreement between you and Reelforge with respect to the Service and supersede all prior agreements. If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision. Section headings are for convenience only and have no legal effect.
